1. Scope
These Terms of Service (“Terms”) govern access to and use of the VMGate Cloud platform operated by Startel International LLC (“Startel”, “we”, “us”), including the tenant portal at portal.vmgate.cloud, related APIs, orchestration services, and documentation (collectively, the “Service”).
The Service is offered on a business-to-business (B2B) basis to telecommunications operators, resellers, and other qualified organizations (“Tenant”, “you”). Where a portal user acts on behalf of a Tenant, that organization is bound by these Terms. Startel’s internal administration systems are outside the scope of these Terms.
2. Eligibility
- Only authorized personnel of a Tenant may register for or use the Service.
- Accounts are issued per individual; sharing credentials is prohibited.
- Users must be at least 18 years old and legally capable of entering binding agreements.
- Tenants must provide accurate registration information and keep it current.
3. Account security
- Users must maintain the confidentiality of login credentials and enable available security controls (including two-factor authentication when offered).
- Users must notify Startel promptly of suspected unauthorized access.
- Startel may suspend or revoke access if unauthorized activity is suspected or contractual obligations are breached.
4. The Service
VMGate Cloud provides software infrastructure for routing, orchestrating, and managing voice traffic between customer softswitches and GSM-capable edge devices running VMGateClient, including call detail records, optional call recording storage, billing entitlements, and related portal tools.
Startel provides infrastructure and software. Startel does not originate telecommunications traffic for the Tenant and is not a telecommunications carrier. The Tenant remains the service provider to its own customers and end users.
5. Acceptable use & telecom compliance
Tenant and its users shall not:
- Attempt to bypass authentication, quotas, rate limits, or security controls.
- Upload malicious code, scrape data without authorization, or overload system resources.
- Use the Service in violation of applicable telecom, privacy, data-protection, anti-spam, export-control, or sanctions laws.
- Misrepresent identity or assume another user’s credentials.
- Resell or redistribute portal access, APIs, or Service outputs without Startel’s written approval.
The Tenant is solely responsible for lawful use of GSM termination, SMS (where enabled), numbering, SIM usage, and all traffic carried through the Service. The Tenant must comply with local telecom, SIM, and anti-fraud regulations in every jurisdiction where it operates.
6. Subscriptions, billing & refunds
- Paid plans, port entitlements, and add-ons are described in the portal and/or a separate order or master agreement.
- Auto-renewal: Unless cancelled before the renewal date, paid subscriptions renew for successive billing periods at the then-current price.
- Taxes: Prices may be exclusive of VAT or other taxes unless stated otherwise. The Tenant is responsible for applicable taxes where required by law.
- Payment processing: Card or bank payments may be processed by a designated third-party payment processor. Startel does not store full payment card numbers. Processor terms apply to the checkout step.
- Failed payment: If payment fails, Startel may retry collection, restrict entitlements, or suspend the Service after any grace period described in the portal or product documentation.
- Refunds: Subscription fees are generally non-refundable except where required by mandatory law or expressly agreed in writing. Partial-month refunds are not provided unless Startel agrees otherwise.
- Cancellation: The Tenant may cancel renewal through the portal or by written notice. Cancellation takes effect at the end of the current paid period unless otherwise stated.
- Chargebacks & fraud: Startel may suspend accounts subject to disputed or fraudulent payments.
7. VMGateClient fleet & device software
Use of VMGateClient on phones, dongles, or other edge hardware is governed by the applicable End-User License Agreement (EULA) supplied with that software. Network authorization, device limits, and revocation rules in the EULA apply in addition to these Terms.
The Tenant is responsible for fleet deployment, physical security of devices, SIM custody, and ensuring operators use devices in accordance with applicable law and Tenant policy.
8. Call recordings
Where recording features are enabled, audio may be stored on Startel-managed or Tenant-designated storage within quota limits. The Tenant is solely responsible for compliance with call-recording, notice, and retention laws in all applicable jurisdictions, including obtaining any required consent from parties to recorded calls.
9. Location & fleet data
If location or fleet-tracking features are enabled, the Tenant instructs Startel to process such data on the Tenant’s behalf. The Tenant must obtain any required consents from device operators and comply with applicable workforce and privacy laws.
10. Data accuracy & records
The Tenant is responsible for the accuracy of configuration data submitted through the portal (routing rules, trunks, destinations, customer records, and similar). Startel’s system logs, CDRs, and billing records generated by the Service are authoritative for Service operation unless demonstrably erroneous.
11. Privacy
Personal data processed through the portal is described in our Privacy Policy. For call and customer traffic data, the Tenant typically acts as controller toward its customers; Startel processes such data as necessary to deliver the Service.
12. “As is” disclaimer
The Service is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, accuracy, uninterrupted availability, or non-infringement.
13. Limitation of liability
To the maximum extent permitted by Armenian law, Startel shall not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, business interruption, device damage, SIM blocking, network failures, or regulatory penalties arising from Tenant traffic or configuration.
Startel’s aggregate liability arising from the Service shall not exceed the fees paid by the Tenant for the Service in the twelve (12) months preceding the event giving rise to the claim.
14. Indemnity
Startel provides no indemnification to the Tenant. The Tenant agrees to indemnify and hold harmless Startel and its officers, directors, employees, and agents from claims, fines, damages, and expenses arising from the Tenant’s use of the Service, traffic carried via the Service, breach of these Terms, or violation of applicable law.
15. Suspension & termination
Startel may suspend or terminate access immediately for security reasons, non-payment, quota abuse, legal requirements, or material breach. Upon termination, the Tenant must cease using the Service and ensure downstream systems stop relying on credentials or APIs issued for the Service.
16. Changes to these Terms
Startel may update these Terms by posting a revised version on the portal and updating the effective date and version identifier. Material changes may require renewed acceptance before continued use. Continued use after notice constitutes acceptance where permitted by law.
17. Governing law & jurisdiction
These Terms are governed by the laws of the Republic of Armenia. Disputes shall be resolved exclusively in the courts of Yerevan, Armenia, unless mandatory law requires otherwise.
